Our firm acts as outside counsel to financial institutions, with
responsibility for a wide range of matters, including operations,
commercial, and regulatory issues. With respect to commercial
activities, we provide advice in loan structuring, including negotiation
and documentation of real estate and asset based loans. The real
estate loans include first and second mortgages, leasehold mortgages,
wraparound mortgages, construction loans, and the purchase and
sale of participation interest in loans. We also review and document
consumer and real estate home loans to assure compliance with
applicable lending regulations. We provide advice regarding account
questions and other operational issues. We work closely with management
to resolve loan defaults. If necessary, we institute appropriate
proceedings to protect the institution's interests under a defaulted
loan, including foreclosure actions, contract forfeitures,actions
under guarantees, and UCC remedies. We also counsel our clients
regarding regulatory and compliance matters.
